I work for a VC and am after some help with regard to one of our investments. At their year end we owned over half of the equity, but did not have a majorty on the voting rights.
In the year end accounts they have referred to us as the ultimate parent undertaking and controlling party.
Are these statements correct if we have less than 50% of the voting rights and the company is an investment held for sale? And if so, do we need to consolidate them as a subsidiary, something that we would be keen to avoid?
